What AXP is, and how we operate.

What we are
An operating and advisory partner to independent agencies. We advise on readiness, enterprise value creation, and sell-side process.
What we are not
AXP is not a broker-dealer and does not offer, sell, or make a market in securities. Where a transaction requires regulated activity, it is conducted with licensed partners, and we will name them to you before that point.
Fees

How we charge.

Readiness
A fixed fee, quoted in writing before any work begins.
Close the Value Gap
Scoped and priced per engagement, against a stated term.
Go to market
A success fee, agreed in advance and payable on close.
Conflicts and confidentiality

Whose side we are on, in writing.

We act for one side of a transaction at a time. Where we hold a relationship with a party on the other side of a process, we disclose it in writing before the process begins, and we will step back rather than represent both.

Everything you share stays confidential, including the fact of the conversation. We do not publish client names, deal counts, or transaction detail without written consent.

For lawyers, accountants and fractional CFOs

Where the handoff sits.

A large share of good outcomes start with the advisor a founder already trusts. If that is you, here is what you need to know before sending someone our way.

  • What we do. Readiness assessment and enterprise value creation ahead of a process, then sell-side execution when the business is ready.
  • What we do not do. Audit, tax, legal opinion, quality of earnings, or valuation for a filing or a dispute. Those stay with you, and we will say so to your client.
  • Where you stay. We do not displace an incumbent accountant or counsel. On a live process we expect to work alongside you, and we will bring you in early rather than at the signing.
  • Fit. Owner-managed marketing and technology services agencies, roughly $1M to $12M of EBITDA, in North America, Latin America, and the United Kingdom.
